Whistleblowing Policy

At Turiya Berhad, we are committed to maintaining the highest standards of corporate governance, integrity and accountability. The Whistleblowing Policy provides a confidential channel for employees, business partners and stakeholders to report concerns regarding unethical, illegal or improper conduct.

The Group’s Whistleblowing policy provides a secure and confidential channel for individuals to report concerns in good faith without fear of retaliation. All reports will be treated seriously and reviewed in accordance with the Group’s governance procedures.

What is Whistleblowing?

Whistleblowing refers to the voluntary disclosure reporting of information relating to improper conduct, unethical behaviour, or unlawful practices within the Group. Such disclosures may relate to actions by employees, management, business partners, or any party associated with the Group’s operations.

Who May Raise a Concern

The whistleblowing channel is available to all stakeholders, including:

  • Employees and former employees
  • Suppliers and contractors
  • Consultants and service providers
  • Tenants and business partners
  • Members of the public who may have knowledge of improper conduct involving the Group

What Can Be Reported

The whistleblowing channel may be used to report concerns relating to, but not limited to, the following matters:

  • Fraud, theft, embezzlement, or financial irregularities
  • Corruption, bribery, or unethical business practices
  • Breaches of applicable laws or regulatory requirements
  • Violations of company policies or governance standards
  • Conflicts of interest or misuse of company assets or information
  • Harassment, bullying, discrimination, or abusive conduct
  • Actions that pose risks to health, safety, or the environment
  • Gross mismanagement or abuse of authority
  • Any other conduct that may harm the integrity, reputation, or operations of the Group

How to Make a Report

Individuals who wish to report a concern may submit a report through the Group’s dedicated whistleblowing channel:

This channel is directed to the Chairman of the Audit and Risk Committee, ensuring that reports are handled independently and in accordance with the Group’s governance framework.

Information to Include in a Report

To facilitate the review and investigation process, whistleblowers are encouraged to provide as much information as possible, including where available:

  • A description of the alleged misconduct
  • Date and location of the incident
  • Identity of individuals involved
  • Details of any witnesses
  • Supporting documents or evidence

Whistleblowers may choose to provide their contact details to allow follow-up communication if further clarification is required.

Confidentiality and Protection

The Group treats all whistleblowing reports with strict confidentiality. The identity of the whistleblower will be protected to the fullest extent possible, and information will only be shared with authorised individuals involved in the review or investigation process.

Turiya Berhad is committed to ensuring that individuals who report concerns in good faith are protected from retaliation, harassment, or adverse treatment.

However, protection may not apply if it is determined that a report was made maliciously, in bad faith, or with knowledge that the information provided was false.

Investigation and Follow-Up

Upon receiving a report, the matter will be reviewed to determine whether it warrants further investigation. Where appropriate, investigations will be conducted in accordance with the Group’s internal governance procedures, and findings may be reported to the Audit and Risk Committee for oversight and further action.

Appropriate corrective or disciplinary measures may be taken where misconduct is substantiated.
